Terms of engagement
Clear expectations.
From the outset.
These terms govern the relationship between RIENVOR and those who engage with the practice. They are designed to be clear and fair — not to obscure accountability, but to establish it precisely.
Service scope
RIENVOR provides founder-led strategic advisory services across three disciplines: digital reputation and trust, growth strategy and performance, and strategic research and execution intelligence. The specific scope of any engagement is defined and agreed in writing before work commences.
RIENVOR does not guarantee specific commercial outcomes. Advisory work is directional by nature — quality of strategic input does not guarantee any particular result, as outcomes depend on factors outside the practice's control, including client decisions, market conditions, and third-party variables.
Advisory limitation
RIENVOR's advice is strategic in nature. It does not constitute legal, financial, regulatory, or investment advice. Where specialist professional advice is required — legal counsel, accountancy, regulated financial guidance — clients are responsible for engaging the appropriate professionals independently.
Nothing communicated by RIENVOR should be construed as a guarantee of result, a promise of performance, or a representation about outcomes achievable within any specific timeframe.
Confidentiality
Both parties acknowledge that engagements involve commercially sensitive information. RIENVOR will not disclose client identities, engagement details, or proprietary business information to any third party without explicit written consent. This obligation applies indefinitely — not only during the engagement period.
Clients are similarly expected to treat any proprietary methodology, strategic frameworks, or materials developed by RIENVOR as confidential. These may not be shared, reproduced, or redistributed without written permission.
A formal non-disclosure agreement is available at first contact and is standard practice for mandates involving commercially sensitive material.
Engagement terms
Engagements are structured as defined projects or ongoing retainers. The scope, deliverables, timeline, and fee structure for each engagement are set out in a written agreement before work begins. No work commences on the basis of verbal instruction alone.
Project engagements are scoped for a defined deliverable. Retainer engagements are structured around a recurring monthly commitment with terms reviewed periodically. Changes to scope mid-engagement are documented in writing and agreed by both parties before implementation.
Intellectual property
Strategic frameworks, methodologies, and approaches developed by RIENVOR remain the intellectual property of the practice unless otherwise agreed in writing. Deliverables — reports, strategy documents, and materials created specifically for a client engagement — are licensed to the client for use within their business upon full payment of the engagement fee.
Clients may not present RIENVOR's proprietary frameworks as their own, redistribute them commercially, or use them in contexts outside the original engagement scope without written consent.
Liability
RIENVOR's liability in connection with any engagement is limited to the fees paid for that engagement. The practice is not liable for indirect, consequential, or speculative losses, including lost revenue, lost opportunity, or reputational harm arising from reliance on strategic advice.
RIENVOR takes the quality of its work seriously. Where a deliverable is materially deficient relative to the agreed scope, the practice will remedy it. This does not extend to outcomes shaped by client decisions, implementation choices, or market conditions beyond the practice's control.
Communication expectations
RIENVOR operates as a high-context advisory practice. Communication is direct, substantive, and governed by mutual respect for each party's time. Clients are expected to provide the context, access, and timely decisions necessary for the engagement to proceed effectively.
Delays caused by a client's failure to provide necessary information or approvals may affect delivery timelines without constituting a breach by RIENVOR.
Payment and engagement fees
Fees are agreed in writing before engagement commencement. Project fees are invoiced per the agreed payment schedule — typically a portion in advance and the remainder on completion or at defined milestones. Retainer fees are invoiced monthly in advance.
Overdue invoices may result in a pause of active work until payment is resolved. Disputed invoices should be raised in writing within five business days of receipt. RIENVOR will engage with any reasonable dispute in good faith.
Termination
Either party may terminate an engagement by providing written notice per the terms of the engagement agreement. For ongoing retainers, notice periods are agreed at the outset — typically 30 days. Project engagements may be terminated early by mutual agreement; fees for work completed to that point remain payable.
RIENVOR reserves the right to decline or discontinue an engagement where the working relationship is no longer compatible with the quality of work the practice is committed to delivering.
Governing expectations
These terms are governed by applicable law in India. Any dispute arising from an engagement will first be addressed through direct communication between the parties. RIENVOR has no interest in adversarial resolution of disputes that could be resolved by honest conversation.
